The Board Performance System™ has been developed over the past eleven years. This protocol is the most efficient set of tools for successful Policy Governance® implementation available in North America.
When boards utilize Charney Associates’ Board Performance System™ for governance training and development, they can expect the following outcomes:
- Results criteria will be in place, broadly defining the success of the organization.
- Board members will have a clear definition of their role and responsibilities — individually and collectively.
- There will be a specific understanding as to where the board’s authority ends and staff's begins.
- Staff will be empowered to do their job within clarified parameters of authority and will be specifically accountable for process and results.
- Performance evaluation criteria and monitoring systems will be clearly established.
- Board officers and committees will have specifically defined job descriptions and authority.
- The board will have a system to focus its efforts on industry or community trends and owners’ needs, enabling it to confidently establish priorities regarding future organizational results.
These outcomes are realized by completing The Board Performance System’s five Phases outlined below. Each phase is a manageable, logical set of steps in a comprehensive process.

PHASE ONE – Diagnostics
1. New Client interview—to identify current board/CEO relationship dynamics and needs.
2. Board Assessment of Structural Effectiveness (B.A.S.E.™) Survey — completed by board members & CEO to determine and identify structural strengths, weaknesses, and needs.
3. The Governance Analysis™ — Charney Associates’ comprehensive review of survey results, bylaws, minutes, etc.
PHASE TWO – The Initial Meeting (2 consecutive days)*
4. Mastering the Board Game™ — a one-day training introducing the concepts of Policy Governance.
5. The Process Articulator™ — Development of operational policies during a one-day facilitation.
PHASE THREE – Duty of Care
6. The Legal Filter ™ — Prepare suggested revisions to Bylaws for submission to client’s attorney for legal review, and check existing Board policies. Correspondence with client’s attorney, as requested, to assist in legal review.
PHASE FOUR – The Roundtable Meeting (optimally, 4-6 weeks after Phase Two).
7. The Purpose and Vision Expander (P.A.V.E.™) Experience — Board explores and defines organizational success and intended outcomes in a one-day facilitated workshop.
PHASE FIVE – Follow-Up Assistance
8. The Results Articulator™ — presentation of initial “Ends” policies; preparation of annual board agenda plan.
9. The Governance Progress and Support (G.P.S.™) System —remote “coaching”/assistance provided for six to twelve months (typical duration — negotiable based on client need/request). On-site follow-up training and assistance may also be included.
*For certain sectors, particularly those served by publicly elected boards, two and one-half days of policy development time is necessary to achieve the quality product described above.
How We Work
While daily and hourly rates are available, most clients prefer a project-based turnkey fee package for our Board Performance System™ training and services.
